Terms of Service

1. Acceptance of Terms

By creating an account or using Provelo (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a binding legal agreement between you (“User,” “you”) and Provelo (“Company,” “we,” “us”).

2. Description of Service

Provelo is a commercial lease intelligence platform that provides AI-powered lease analysis, CAM audit reconciliation, risk scoring, critical date tracking, and portfolio analytics for commercial tenants. The Service is provided on a subscription basis with multiple tiers as described on our Pricing page.

The Service includes AI-powered features using Anthropic’s Claude for extracting data from uploaded lease documents and generating analytical outputs.

3. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You may not create more than one account per person or organization.
• You may not use disposable, temporary, or fraudulent email addresses.
• You may not create accounts on behalf of others without their authorization.
• You must be at least 18 years old to create an account.
• We reserve the right to refuse registration or terminate accounts at our sole discretion.

4. Free Trial

PLEASE READ THIS SECTION CAREFULLY — IT GOVERNS YOUR TRIAL ELIGIBILITY AND OUR ENFORCEMENT RIGHTS.

• Each person and organization is entitled to ONE (1) free trial of premium features, regardless of the email address, device, or account used.
• The free trial provides full access to Growth-tier features for fourteen (14) calendar days.
• A payment method is required at signup. Your card is not charged until day 15 of the trial.
• On day 15, your card is automatically charged for the plan you selected and your subscription begins. If you cancel before day 14 from your account settings, you will not be charged.
• All data created during the trial is preserved for 30 days, but accessing any features requires a paid subscription.
• Attempting to obtain additional free trials by creating multiple accounts, using different email addresses, or any other means constitutes a violation of these Terms and may result in immediate account termination of all associated accounts.
• If you have previously received a free trial, you are ineligible for additional trials regardless of the email address or account used.
• We use technical measures including email normalization, device fingerprinting, IP analysis, and behavioral risk scoring to detect and enforce the one-trial-per-person policy.
• Accounts flagged for trial abuse may be permanently suspended without prior notice or opportunity to cure.

5. Subscription Plans & Billing

• Paid subscriptions are available at the prices listed on our Pricing page.
• All fees are charged in U.S. dollars.
• Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled.
• You authorize us to charge your payment method on file for all applicable fees.
• Annual subscriptions are billed in advance for the full year.
• Price changes will be communicated at least 30 days in advance and take effect at the next renewal.

6. Cancellation & No Refund Policy

• You may cancel your subscription at any time from your account Settings or through the Stripe customer portal.
• Upon cancellation, your subscription remains active until the end of the current billing period.
• After the billing period ends, your account access is fully blocked until you resubscribe to a paid plan.
• ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS, PARTIAL REFUNDS, OR CREDITS FOR ANY REASON, including but not limited to: unused subscription time, dissatisfaction with the Service, accidental purchases, or failure to cancel before renewal. You have a full 14-day trial to evaluate Provelo before any charges begin. Your card is charged on day 15 unless you cancel before day 14. By continuing past the trial period, you acknowledge and agree that all payments are non-refundable.
• You are responsible for cancelling your subscription before it renews if you do not wish to be charged.
• If you believe a charge was made in error, contact support@provelo.app within 30 days.

7. Account Deletion

• You may request account deletion from your account Settings.
• Account deletion is processed as a soft-delete with a 30-day recovery period. During this period, you may contact support@provelo.app to recover your account.
• After 30 days, your data will be permanently and irreversibly deleted.
• Certain anonymized records may be retained for fraud prevention purposes as permitted under applicable law (GDPR Recital 47). These records contain only non-identifiable hashed data and cannot be used to identify you.
• Deleting your account does not entitle you to a new free trial upon re-registration.
• Deleting your account does not entitle you to a refund for any remaining subscription time.

8. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws.
• Attempt to circumvent, disable, or interfere with security features of the Service.
• Access features or data beyond your subscription tier through any technical means.
• Use automated tools, bots, scrapers, or scripts to interact with the Service without authorization.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Share your account credentials with third parties.
• Resell, sublicense, or redistribute the Service or any data obtained from it.
• Upload malicious files, viruses, or harmful content.
• Attempt to gain unauthorized access to other users’ accounts or data.
• Use the Service to store or transmit content that infringes intellectual property rights.
• Use the Service to store or process data unrelated to commercial lease management.
• Embed instructions in uploaded documents intended to manipulate AI processing.

9. Data & Privacy

• Our handling of your personal data is described in our Privacy Policy.
• You retain ownership of all documents you upload to the Service.
• We do not sell your data to third parties.
• You grant Provelo a limited license to process your content solely to provide the services you request (including AI extraction, analysis, risk scoring, and report generation).
• You are responsible for maintaining your own backups of your content.

10. AI-Powered Features & Disclaimer

THIS IS ONE OF THE MOST IMPORTANT SECTIONS OF THESE TERMS. PLEASE READ IT CAREFULLY.

THE SERVICE USES ARTIFICIAL INTELLIGENCE (ANTHROPIC’S CLAUDE) TO ANALYZE LEASE DOCUMENTS AND GENERATE OUTPUTS. YOU ACKNOWLEDGE AND AGREE THAT:

• AI-generated outputs, including but not limited to extracted lease data, risk scores, CAM audit findings, lease summaries, and conversational Q&A responses, are provided for INFORMATIONAL PURPOSES ONLY.
• AI outputs may contain errors, omissions, or inaccuracies and MUST BE INDEPENDENTLY VERIFIED by qualified legal, financial, and real estate professionals before use in any business decision, negotiation, or legal proceeding.
• You are solely responsible for reviewing and validating all AI-generated content before relying on it.
• Provelo does not guarantee the accuracy, completeness, or reliability of any AI-generated output.
• AI features may be updated, modified, or discontinued at any time.
• THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, FINANCIAL, OR REAL ESTATE ADVICE.
• PROVELO IS NOT A LAW FIRM, ATTORNEY, OR LEGAL ADVISOR. NO ATTORNEY-CLIENT RELATIONSHIP IS CREATED BY USING THE SERVICE.

PROVELO SHALL NOT BE LIABLE FOR ANY DECISIONS MADE OR ACTIONS TAKEN BASED ON AI-GENERATED OUTPUTS INCLUDING BUT NOT LIMITED TO LEASE NEGOTIATIONS, CAM DISPUTES, OR FINANCIAL DECISIONS.

11. Intellectual Property

• The Service, including all software, algorithms, designs, and content, is the intellectual property of Provelo.
• Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.
• You may not copy, modify, or create derivative works based on the Service.
• Your content remains your property — we claim no ownership of data or documents you upload.
• AI-generated outputs based on your content: all rights, title, and interest (if any) in AI-generated outputs are assigned to you. Note that purely AI-generated content may not qualify for copyright protection under current U.S. law.
• The Provelo name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Provelo. You may not use such marks without prior written permission.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

IN NO EVENT SHALL PROVELO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS
• LOSS OF DATA OR BUSINESS INTERRUPTION
• LOSS OF BUSINESS OPPORTUNITY OR GOODWILL
• COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES
• ANY DAMAGES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS
• ANY DAMAGES ARISING FROM LEASE NEGOTIATIONS, DISPUTES, OR DECISIONS MADE USING THE SERVICE

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

AI-GENERATED ANALYSES MAY CONTAIN ERRORS. YOU ACKNOWLEDGE THAT YOU USE AI FEATURES AT YOUR OWN RISK AND SHOULD VERIFY ALL OUTPUTS INDEPENDENTLY.

13. Indemnification

You agree to indemnify, defend, and hold Provelo and its officers, directors, employees, agents, and affiliates harmless from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, (d) your content, (e) any decisions made or actions taken based on Service outputs, or (f) any dispute with a landlord, property manager, or other party arising from your use of Service features.

14. Termination

• We reserve the right to suspend or terminate your account at our sole discretion, with or without cause, with or without notice.
• Grounds for termination include but are not limited to: violation of these Terms, trial abuse, creating multiple accounts, payment fraud, chargebacks, abusive behavior, or any activity that threatens the integrity of the Service.
• Upon termination, your right to access the Service ceases immediately.
• We are not liable for any loss or damage resulting from account termination.
• Sections 6, 7, 9, 10, 11, 12, 13, 15, and 16 survive termination.

15. Modifications to Terms

We may modify these Terms at any time by posting the updated version on our website. Material changes will be communicated via email to the address on file at least 30 days before taking effect. Your continued use of the Service after modifications constitutes acceptance of the updated Terms. If you disagree with any changes, you may cancel your subscription before the changes take effect.

16. Governing Law & Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration shall take place in Gwinnett County, Georgia.

YOU AND PROVELO EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.

The arbitrator’s decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive or equitable relief in state or federal courts in Georgia to protect intellectual property rights or prevent irreparable harm.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Provelo.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not waive future enforcement.
• Assignment: You may not assign your rights under these Terms without our consent; we may assign our rights in connection with a merger, acquisition, or sale of assets.
• Force Majeure: Provelo shall not be liable for delays or failures due to circumstances beyond our reasonable control.
• Notices: We may provide notices to you via email, in-platform notification, or by posting on the Service.
