1. Agreement to Terms
By accessing or using Provelo (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Platform.
2. Description of Service
Provelo is a commercial lease intelligence platform designed for commercial tenants. The Platform provides AI-powered tools for lease document analysis, conversational lease Q&A, risk scoring across multiple clause categories, Common Area Maintenance (CAM) audit and billing error detection, dispute letter generation, critical date tracking, portfolio analytics, and lease comparison.
The Platform includes AI-powered features using Anthropic’s Claude for extracting data from uploaded lease documents and generating analytical outputs.
3. Accounts and Registration
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the security of your account credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately of any unauthorized access to your account
- You must be at least 18 years old to create an account
- One person or legal entity may not maintain more than one account
- You may not share your account credentials with others
4. Subscription and Payment
- Provelo offers subscription plans at prices listed on our pricing page
- All fees are charged in U.S. dollars
- ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES. You have a full 14-day free trial to evaluate Provelo before any charges begin. By subscribing after the trial period, you acknowledge and agree that all payments are non-refundable
- Subscriptions automatically renew unless cancelled before the renewal date
- We reserve the right to change pricing with 30 days’ notice to existing subscribers
- Free trial periods convert to paid subscriptions automatically — you will be notified before conversion and can cancel at any time during the trial
- You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period
- We may suspend access for non-payment after reasonable notice
5. Your Data and Content
- You retain all ownership rights to data and documents you upload to the Platform (“Your Content”)
- You grant Provelo a limited license to process Your Content solely to provide the services you request (including AI extraction, analysis, risk scoring, and report generation)
- We will not access, use, or share Your Content except as necessary to provide the Platform, comply with law, or enforce these Terms
- You are responsible for ensuring you have the right to upload and process any documents submitted to the Platform
- You may export or delete Your Content at any time through the Platform
- You are responsible for maintaining your own backups of Your Content
6. AI-Powered Features and Disclaimer
THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.
THE PLATFORM USES ARTIFICIAL INTELLIGENCE (ANTHROPIC’S CLAUDE) TO ANALYZE LEASE DOCUMENTS AND GENERATE OUTPUTS. YOU ACKNOWLEDGE AND AGREE THAT:
- AI-generated outputs, including but not limited to extracted lease data, risk scores, negotiation recommendations, CAM audit findings, dispute letters, lease summaries, and conversational Q&A responses, are provided for INFORMATIONAL PURPOSES ONLY
- AI outputs may contain errors, omissions, or inaccuracies and MUST BE INDEPENDENTLY VERIFIED by qualified legal, financial, and real estate professionals before use in any business decision, negotiation, or legal proceeding
- You are solely responsible for reviewing and validating all AI-generated content before relying on it
- Provelo does not guarantee the accuracy, completeness, or reliability of any AI-generated output
- AI features may be updated, modified, or discontinued at any time
- THE PLATFORM IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, FINANCIAL, OR REAL ESTATE ADVICE
PROVELO SHALL NOT BE LIABLE FOR ANY DECISIONS MADE OR ACTIONS TAKEN BASED ON AI-GENERATED OUTPUTS INCLUDING BUT NOT LIMITED TO LEASE NEGOTIATIONS, CAM DISPUTES, OR FINANCIAL DECISIONS.
7. Not Legal Advice
PROVELO IS NOT A LAW FIRM, ATTORNEY, OR LEGAL ADVISOR. THE PLATFORM DOES NOT PROVIDE LEGAL ADVICE, LEGAL OPINIONS, OR LEGAL REPRESENTATION.
- Lease analysis, risk scoring, and dispute letter generation are automated AI processes, not legal counsel
- No attorney-client relationship is created by using the Platform
- AI-generated dispute letters are templates for informational purposes only and must be reviewed by a qualified attorney before being sent to any party
- Negotiation recommendations are AI-generated suggestions based on common commercial lease practices and should not be relied upon without consultation with qualified real estate and legal professionals
- You should always consult with a licensed attorney, certified public accountant, or other qualified professional before making decisions based on Platform outputs
- Provelo shall not be held liable for any decisions made or actions taken based on AI-generated outputs
8. CAM Audit and Financial Analysis Disclaimer
THE PLATFORM PROVIDES CAM (COMMON AREA MAINTENANCE) AUDIT AND FINANCIAL ANALYSIS TOOLS FOR INFORMATIONAL PURPOSES ONLY. PROVELO IS NOT A CERTIFIED PUBLIC ACCOUNTANT, AUDITOR, OR FINANCIAL ADVISOR.
- CAM audit findings, including identified overcharges and billing discrepancies, are AI-generated estimates based on the documents you provide and may not reflect the complete terms of your lease
- Financial calculations are based on data extracted from your uploaded documents and may contain errors if documents are incomplete, illegible, or incorrectly interpreted by the AI
- You should retain qualified professionals (attorneys, CPAs, lease auditors) to verify all findings before pursuing any dispute, claim, or recovery
- Provelo does not guarantee any particular financial outcome from using CAM audit features
9. Acceptable Use
You agree NOT to:
- Use the Platform for any unlawful purpose
- Upload documents containing malware, viruses, or malicious code
- Attempt to circumvent security measures or access data belonging to other users
- Use the Platform to store or process data unrelated to commercial lease management
- Reverse engineer, decompile, or attempt to extract the source code of the Platform
- Resell, sublicense, or redistribute access to the Platform without authorization
- Use automated tools to scrape, crawl, or extract data from the Platform
- Embed instructions in uploaded documents intended to manipulate AI processing
- Upload documents you do not have the legal right to possess or process
- Use the Platform to harass, threaten, or harm any person or entity
10. Intellectual Property
- Provelo and its licensors retain all rights to the Platform, including its software, design, trademarks, and documentation
- Your Content remains your property — we claim no ownership of data or documents you upload
- AI-generated outputs based on Your Content: all rights, title, and interest (if any) in AI-generated outputs are assigned to you. Note that purely AI-generated content may not qualify for copyright protection under current U.S. law
- Feedback and suggestions you provide about the Platform may be used by Provelo without obligation to you
- The Provelo name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Provelo. You may not use such marks without prior written permission
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
PROVELO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL PROVELO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS
- LOSS OF DATA OR BUSINESS INTERRUPTION
- LOSS OF BUSINESS OPPORTUNITY OR GOODWILL
- COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES
- ANY DAMAGES ARISING FROM RELIANCE ON AI-GENERATED OUTPUTS
- ANY DAMAGES ARISING FROM LEASE NEGOTIATIONS, DISPUTES, OR DECISIONS MADE USING THE PLATFORM
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PROVELO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Warranty Disclaimer
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
PROVELO DOES NOT WARRANT THAT:
- THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE
- THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS
- ANY ERRORS IN THE PLATFORM WILL BE CORRECTED
- RISK SCORES, CAM AUDIT FINDINGS, OR FINANCIAL ANALYSES WILL ACCURATELY REFLECT YOUR LEASE OBLIGATIONS
13. Indemnification
You agree to indemnify, defend, and hold Provelo and its officers, directors, employees, agents, and affiliates harmless from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Platform, (b) your violation of these Terms, (c) your violation of any third-party rights, (d) Your Content, (e) any decisions made or actions taken based on Platform outputs, or (f) any dispute with a landlord, property manager, or other party arising from your use of Platform features.
14. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration shall take place in Gwinnett County, Georgia.
YOU AND PROVELO EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.
The arbitrator’s decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive or equitable relief in state or federal courts in Georgia to protect intellectual property rights or prevent irreparable harm.
15. Termination
- You may cancel your subscription at any time through your account settings — access continues until the end of the current billing period
- We may suspend or terminate your account for violation of these Terms with notice
- Upon termination, you will have 30 days to export Your Content before it is permanently deleted
- Sections 5, 6, 7, 8, 10, 11, 12, 13, 14, and 16 survive termination
16. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
17. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-Platform notification at least 30 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance. If you disagree with any changes, you may cancel your subscription before the changes take effect.
18. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Provelo
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force
- Waiver: Failure to enforce any provision does not waive future enforcement
- Assignment: You may not assign your rights under these Terms without our consent; we may assign our rights in connection with a merger, acquisition, or sale of assets
- Force Majeure: Provelo shall not be liable for delays or failures due to circumstances beyond our reasonable control
- Notices: We may provide notices to you via email, in-Platform notification, or by posting on the Platform
